Affiliate Program Terms and Conditions

This Agreement governs the relationship between Affiliate Partner and InfoDiagram (named hereinafter as Parties) to refer InfoDiagram’s Products by Affiliate Partner.

InfoDiagram: provider of presentation graphics and PowerPoint templates (a digital products). InfoDiagram Ltd is the owner and administrator of infoDiagram website.
Product: Any InfoDiagram products listed on infoDiagram.com webpage (set of visual PowerPoint templates and graphical elements)
Affiliate Partner: person or company referring InfoDiagram Products from its website.
Commission Rate: 20% (or 30% in case of exclusive affiliation) from each qualified purchase - made by visitor coming from the affiliate referral link tracked by an independent third party application and 30-day cookie.
Commission Payment: Monthly, when reaching min. Amount 100 USD, otherwise cumulates for next period.

Affiliate commission reward

Affiliate Partner will be paid by the infoDiagram a commission reward for each sale of the Product.
Administrator will report the commission reward value to the Affiliate Partner 15 days after the end of each Commission Payment period specified in the cooperation terms above.
The commission reward will be paid based on the invoice issued by the Affiliate Partner with the specified PayPal account or bank account. The administrator will transfer the reward within 30 days after receiving the invoice.
The commission reward amount is based on the total amount of referred purchases that infoDiagram have received in the given reward period.
Cancelled purchases: if a client returns a Product within 15 days from the purchase and is refunded by infoDiagram, infoDiagram doesn’t pay the commission for those refunded purchases.
The minimal commission reward amount paid out to Affiliate Partner is defined in cooperation terms above. In the case the cumulated reward will be less than this minimal commission amount, its payment will be transferred to the following Commission Payment period.
Affiliate Partner is responsible for payment of all taxes and fees applicable to the received commission reward

InfoDiagram undertakings

Providing its Products to clients in a timely manner.
Managing payments and accounting concerning the Product.
Providing use support and information for the Products.
Report the number of Product sales to Affiliate Partner at the end of each Commission Payment period.

Affiliate Partner undertakings

Agree to the terms of this Agreement.
Refer and promote the Product information on their website.
Ensure the information about the Product by the Affiliate Partner is consistent the with Product information published by the infoDiagram on its website.
Communicating in a timely manner with infoDiagram.
Make sure not to take part in legally prohibited activities. We do not cooperate with Affiliate Partners using violent content, hate speech, copied websites content or involved in any illegal activities.
To receive a Commission Payment, provide infoDiagram a valid payment method.

Exclusivity option

To qualify for the exclusivity Commission Rate, the Affiliate Partner agrees not to promote the infoDiagram’s Products on the same website with competitive products to infoDiagram, including websites selling presentation slides and templates.

Agreement termination

This agreement is effective from the date of the Affiliate Partner's acceptance of the Agreement and will remain valid for 3 months. Thereafter it is automatically extended unless terminated by one of the parties, with one month's email notice before the termination.
The Agreement will be terminated immediately in case any party will not comply with the undertakings of this agreement.
In case of the closing of the infoDiagram business or the InfoDiagram website, the Agreement is terminated automatically.
Both parties agree to reimburse any financial obligations existing at the moment of agreement termination, assuming a valid payment method is provided.

Disclaimers, limitations of liability

Disclaimer of Warranties: To the extent permitted by law, the infoDiagram Products and Affiliate tool are provided "As Is" without warranty or condition of any kind. infoDiagram does not provide a warranty for the third part affiliate tools and disclaims all liability with respect to the third-party affiliate tool.
No indirect damages: To the extent permitted by law, in no event shall either party be liable for any indirect, punitive, or consequential damages, including lost profits or business opportunities.
Cookie validity: Cookies used for the affiliate referrals tracking have a specified period of their time validity. If a referred visitor clears their cookies during this period, infoDiagram can not track such a sale and can not be liable for commissions related to such untraceable referrals
By agreeing to this affiliate program, you accept that no commission will be paid for direct referral or traffic to infoDiagram from search engines, and/or the use of “infoDiagram” as a keyword for paid ads in search engines, including, without limitations, Facebook, Google, Bing, Yahoo, etc. Such actions will be considered unethical and will result in instant agreement termination.

General terms

Force Majeure: Parties will not be liable for failure to perform the Agreement obligations during the period when its performance is prevented by circumstances beyond their reasonable control.
Any disputes between both parties shall be settled through consultation in the first place. If the dispute settlement cannot be reached, they will be resolved by the Court appropriate to the infoDiagram location, unless both parties will agree otherwise.
The Agreement is governed by the laws of England and Wales.
